Halpern & Co provides consulting services for construction-related projects, facilitating the connection of clients with qualified, independent tradespeople specializing in demolition, excavation, foundation work, framing, roofing, and interior work. Halpern & Co is a consulting firm only and does not employ its own crew. All work related to construction is executed by third-party independent contractors and tradespeople, who are not employees of Halpern & Co. The role of Halpern & Co is strictly limited to facilitating the introduction of clients to the relevant tradespersons for each project. Halpern & Co does not manage, direct, or supervise the execution of the work.

Accuracy of Information
The information and services provided by Halpern & Co are for general informational purposes only. While we make reasonable efforts to ensure the accuracy and completeness of all information shared, Halpern & Co does not guarantee that all information, advice, or materials provided are accurate, complete, or up to date. All information is provided "as is." Halpern & Co recommends that clients independently verify all information and consult with qualified professionals, including lawyers, engineers, architects, or other specialists, as applicable to their specific circumstances. Consulting Services and Scope
Halpern & Co’s role is strictly limited to providing consulting services and acting as a liaison between clients and independent contractors and tradespeople for the completion of construction projects. We do not perform or manage the physical work nor do we employ any of the contractors or tradespeople. All third-party contractors or tradespersons are hired directly by the client or through their designated agent, and Halpern & Co does not assume any responsibility or liability for the work performed by these independent contractors.

No Warranties or Guarantees
Halpern & Co does not provide any warranties, express or implied, regarding the services, work, or outcomes of any project or work completed by contractors or tradespeople. Any warranties or guarantees provided in relation to the work performed are solely those of the contractors or tradespeople involved and are not extended by Halpern & Co. Halpern & Co makes no representations or warranties regarding the quality, safety, completion time, or performance of the work done by any third-party contractors.

Limitation of Liability
Halpern & Co shall not be held liable for any damages, injuries, losses, delays, or issues arising from any construction work, including but not limited to demolition, excavation, foundation work, framing, roofing, or interior work, or any other work performed by the independent contractors connected through our services. This includes direct, indirect, incidental, consequential, or special damages arising out of or in any way connected to the services provided by Halpern & Co.

Halpern & Co is not responsible for any property damage, bodily injury, or any other loss arising from the performance or non-performance of any work done by the third-party contractors, including any accidents, defects, or issues that may arise from the execution of the work.

Indemnification
By engaging the services of Halpern & Co, the client agrees to indemnify and hold harmless Halpern & Co, its employees, officers, directors, agents, and affiliates from any and all claims, damages, liabilities, expenses, or losses (including legal fees) arising out of or in connection with:

Any actions, omissions, or negligence of third-party contractors or tradespeople engaged for the project;
Any injuries, damages, or losses sustained by the client, the contractors, or any third parties;
Any breach of contract or any other legal obligations of the client or contractors;
Any claims resulting from the work performed or not performed by the contractors or tradespeople;
Any claims arising from delays, defects, or failure to meet contractual or project requirements.

No Employee-Contractor Relationship
The relationship between Halpern & Co and any contractors, tradespeople, or subcontractors is strictly that of an independent consultant and third-party service provider. Halpern & Co does not employ or direct any contractors, tradespeople, or subcontractors. The client acknowledges that Halpern & Co is not responsible for the actions or performance of the contractors or tradespeople once the services have been engaged.

Compliance with Ontario Law
This disclaimer, and any services provided by Halpern & Co, are governed by the laws of the Province of Ontario, Canada. Any disputes arising from the services provided or the terms of this disclaimer shall be resolved under the jurisdiction of the courts located in Ontario, and clients agree to submit to the exclusive jurisdiction of those courts for the resolution of any disputes.

Severability
If any provision of this disclaimer is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to reflect the intent of the original provision to the extent possible.

Agreement to Terms
By engaging Halpern & Co’s services, the client acknowledges and agrees to all terms and conditions outlined in this disclaimer. The client further affirms that they have had the opportunity to review these terms and seek independent legal advice, if desired.
